Terms of Reference: Monitoring, Reporting and Verification System for AGRI3 Fund

The Agri3 Fund (the “Fund”), was developed as a joint endeavour of Rabobank and the United Nations Environment Programme ("UNEP"), supported by the Nederlandse Financierings-Maatschappij voor Ontwikkelingslanden ("FMO") and IDH.

Introduction

The Agri3 Fund is a fund for joint account (“Fonds Voor Gemene Rekening”) established under the laws of the Netherlands on 17 April 2020. Since the end of 2020, it has been deploying capital as an evergreen blended finance vehicle with support of the Dutch government and now it wants to scale-up with support of EFSD+, aiming to mobilize over USD1bln capital towards forests, farming, and food systems in the Development Assistance Countries (“DAC”).

Current investors include Dutch Government via a repayable grant, Global Environment Facility (GEF) with USD13 million of committed capital, and Rabobank with a USD50 million senior debt facility. The Fund is currently in the process of bringing European Commission to its second loss tranche and SDG Finance Initiative to its senior equity tranche.

The current impact objectives of the Agri3 Fund are 1) preventing deforestation and promoting reforestation; 2) supporting sustainable and efficient agricultural production; and/or 3) improving livelihoods in the food and agriculture value chain. To date, it has mobilized more than EUR 180mln across Latam, Africa, and South Asia. The Agri3 Fund has a team of 11 people and is domiciled in the Netherlands.

The Agri3 Fund has a 3-step approach to mobilizing capital and bridging the gap in financing by offering 1) its deep technical sector expertise, 2) its ability to absorb and transfer financial risk, and 2) its technical assistance, managed by Stichting IDH, for impact implementation

 On basis of these Terms of Reference (“ToR”), IDH — operating manager of the AGRI3 Technical Assistance Facility (TAF) — aims to select a services provider to design and implement an MRV System for the AGRI3 Fund

Assignment Objectives

The overall objective of this assignment is to design and implement a Monitoring, Review, and Verification (MRV) system that is tailored to the AGRI3 Fund’s needs, ambitions, and operational strategies. The scope is structured into two integrated components:

  • Component A: Strategic Framework – Establishing the conceptual, definitional, and operational foundations of the MRV system. This includes reviewing current practices and aligning with lender impact requirements to support the finalization of the 2024 Impact Report.
  • Component B: System Implementation – Developing a practical MRV toolkit (in Excel) to estimate, collect, organize, and store impact data in a way that supports both internal reporting and submission to external platforms. This system will support the delivery of the Fund’s 2025 Impact Report.

Proposal Requirements and Submissions

IDH is requesting the service providers to hand in a proposal of maximum 10 pages (excluding company biographies, CVs, sample work and references). The proposal must be handed in a MS Word or PowerPoint version next to a PDF submission to facilitate any copy-and-pasting of content that we may need during evaluation.
